1. Purpose of the agreement
These general terms and conditions of sale ("GTC") govern the provision, by SARL G.M.E.P (hereinafter "the Publisher"), to the customer (hereinafter "the Subscriber"), of software provided in SaaS (Software as a Service) mode, accessible from app.gmep-france.eu, namely, as of the date these terms were last updated: 3D_SSP (integrated 3D modelling), GEP Modelling — DLE & Water Act, Porchet Test Modelling, ANC Sizing, EQRS V9 + ECOTOX V9 + HUMAIN Module (Tier 3), EQRS Johnson & Ettinger, Soil → Groundwater → Well Transfer and Groundwater drawdown. 3. Term and termination
The monthly subscription is entered into for a one-month term, automatically renewable unless terminated by the Subscriber before the renewal date via their customer account or by e-mail to gmep.france@gmail.com.
The annual subscription is entered into for a one-year term, with no automatic renewal. Upon expiry, the Subscriber may subscribe again if they wish.
In the event of a serious breach by either party (non-payment, fraudulent use), the other party may terminate the agreement automatically after a formal notice has remained without effect for 15 days.
4. Access to the service
Access is opened immediately after payment validation, using the credentials created by the Subscriber. The Publisher undertakes to provide reasonable service availability (target: 99% excluding scheduled maintenance) without, however, guaranteeing uninterrupted availability.
5. Free trial
A free trial with no commitment and no credit card required is automatically activated upon registration for each of the software products in the GMEP suite. Its duration is 14 calendar days for all software products in the GMEP suite (3D_SSP, GEP Modelling — DLE & Water Act, Porchet Test Modelling, ANC Sizing, EQRS V9 + ECOTOX V9 + HUMAIN Module, Soil → Groundwater → Well Transfer, Groundwater drawdown and EQRS Johnson & Ettinger). At the end of the trial, access is limited (reduced features and/or generated documents marked "DEMO") until a paid subscription is taken out.
6. Intellectual property
The software and its content are the exclusive property of SARL G.M.E.P. The subscription confers a personal, non-exclusive and non-transferable right of use. Any reproduction, redistribution, reverse engineering or resale is prohibited and liable to prosecution under Articles L.335-2 et seq. of the French Intellectual Property Code.
7. Personal data
The Publisher processes the Subscriber's personal data in accordance with the GDPR. See the legal notice for details of purposes, retention periods and the Subscriber's rights.
8. Confidentiality of calculations
The parameters entered by the Subscriber (project data, coordinates, calculation values) remain strictly confidential. Calculations are performed client-side (in the browser) or on a dedicated server, with no reuse for commercial purposes by the Publisher.
9. Limitation of liability
The results produced by the software constitute a decision-support aid. The Subscriber retains full and sole responsibility for their interpretation, validation and use in their professional and regulatory deliverables (IEM reports, Water Act files, etc.). The Publisher's liability may not be invoked for indirect damages (loss of revenue, loss of opportunity, etc.) resulting from misinterpretation or inappropriate use of the results.
10. Force majeure
Neither party may be held liable for non-performance resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code.
11. Governing law and jurisdiction
These GTC are governed by French law. Failing an amicable resolution, any dispute shall fall under the exclusive jurisdiction of the Tribunal judiciaire de Niort, notwithstanding multiple defendants or third-party proceedings.
